Operations and Maintenance      
     

Operations and maintenance of the Plant upon completion will be undertaken under terms of a twenty year O&M Agreement with Shuweihat O&M Limited Partnership, a company formed specifically by CMS Energy and International Power for this purpose. Both CMS Energy and International Power own 50% of the O&M Company, and will second “key” staff to direct and manage the O&M Company.

Maintenance of the gas turbines will be undertaken by the supplier, Siemens AG, under a Long Term Maintenance Agreement (“LTMA”) between Siemens and the O&M Company covering the first overhaul cycle of the gas turbines (the first 50,000 operating hours). This LTMA will include the provision of operating and replacement spares during this operating cycle. As well, the Project Company has capital funds budgeted to purchase and stock strategic spares for continued operations of all equipment, inclusive of the gas turbines.

It is forecast to operate and maintain the Plant with a staffing level of 165, inclusive of all administrative, maintenance and operating personnel. Included in this total are the fire fighting and security crews for the Shared Facilities Company. The principle business of the Project Company will be managed from offices currently being constructed at the Shuweihat site.
