Abu Dhabi Water and Electricity Authority and Related Entities

ADWEA is the governmental authority responsible for the water and power industries in the Emirate of Abu Dhabi. Existing generation, desalination, transmission and distribution facilities within Abu Dhabi are currently owned and operated by the Government through ADWEA.

 
ADWEA owns ADWEC, the Procurer under the PWPA, as well as Transco, which will provide despatch instructions to the Project and be responsible for the transmission of power and water pursuant to the Transco Connection Agreement (the “Transco Connection Agreement”). ADWEA is also the Lessor under the A1 Land Lease and the Shared Facilities Land Lease (“SF Land Lease”)
 

Total Fina Elf S.A. and Affiliates

Total Fina Elf is the world’s fourth largest oil company with more than 75 years of experience in oil and gas exploration, refining and distribution, and related activities which also include private sector power projects. Total Fina Elf has a workforce of 135,000 employees.


 
It has a long history of operations in the Middle East of over 70 years, and particularly in the Emirate of Abu Dhabi. For the year ended in December 1999, Total Fina Elf had net income of Euro3.35 billion and cash flow of Euro10.28 billion. In the first quarter of 2000, the net income tripled from Euro550 million to Euro1.65 billion. It maintains long-term ratings by Standard & Poor’s of AA and Moody’s of Aa2.

Total Fina Elf participates in the Project through its 50% ownership of Total Tractebel (the 40% Shareholder of the A1 Project Company) and its 50% ownership of the Turnkey Contractor and the O&M Contractor. Total Fina Elf is also providing 50% of the Parent Company Guarantees supporting the Turnkey Contract and the O&M Contract on a several basis.
 

Tractebel S.A. and Affiliates

Tractebel is a global utility, engineering and industrial services group headquartered in Belgium employing over 70,000 people and operating in over 100 countries.

 
Tractebel has over a century of involvement in private sector energy projects and is today responsible for 45,500 MW of electricity generation capacity, of which 66% is outside its home country and over 100 billion cubic meters per year of gas handling and transportation capacity. It is the third largest independent producer of power in the world. For the year ended in December 1999, Tractebel had revenues and assets of Euro 11.4 billion and Euro 27.6 billion, respectively. Tractebel is not rated by Standard & Poor’s or Moody’s, but its parent group, Suez is rated “A” by Standard and Poor’s.

Tractebel participates in the Project through its 50% ownership of Total Tractebel (the 40% Shareholder of the A1 Project Company) and its 50% ownership of the Turnkey Contractor and O&M Contractor. Tractebel is also providing 50% of the Parent Company Guarantees supporting the Turnkey Contract and the O&M Contract.
 

Main Sub-contractors

In addition to the parties described above, GE, Sidem (a 100% subsidiary of Vivendi) and Babcock Borsig Power are playing significant roles in the Project as the major sub-contractors and/or providers of major items of equipment.
