Emirates CMS Power Company (ECPC) has been established to build, own and operate the Al Taweelah A-2 combined cycle power and desalination plant. Emirates Power Company, a wholly owned subsidiary of the Abu Dhabi Water and Electricity Authority (ADWEA), holds six per cent (6%), Taqa holds fifty four per cent (54%) of the shares of ECPC. CMS Generation Taweelah Limited, a wholly owned subsidiary of CMS Generation, holds the remaining 40% of the shares.

ECPC has contracted with the Abu Dhabi Water and Electricity Company (ADWEC) to supply water and power under terms of a 20-year agreement. The revenue generated under this supply agreement will come both from the demonstrated capacity to produce water and power as well as their actual production. Included in the contract are liquidated damages for failure to achieve agreed declared capacity for water and power, as well as for the failure to meet valid despatch instructions issued by the national Load Despatch Center (LDC).

ECPC has entered into a US$ 596 million Facility Agreement with a syndicate of international banks, headed by Barclays Bank PLC as the “Facility Agent”, and by Barclays Capital as the “Lead Arranger”, to finance the construction and commissioning of the Al Taweelah A-2 Facility. The plant is capable of producing 710 MW of power (net) and 50 million Imperial gallons per day (MIGD) of potable water. The debt to equity ratio of the Facility Agreement is 75: 25.

Construction and commissioning of the Facility was undertaken by a consortium of Siemens Aktiengesellschaft (Siemens) and Korean Heavy Industries and Construction Co., Ltd. (Hanjung) under a fixed price, Turn Key Agreement. Included in the Turn Key Agreement were provisions for the training of operating and maintenance personnel, as well as provision of major spare parts to cover an initial six (6) year operating period; which has since been extended to another six years.

The completed power plant includes three (3) Siemens V94.3A gas turbines, three (3) heat recovery steam generators and two (2) steam turbines. Water production is achieved from four (4) multistage flash (MSF) distillers fired by waste heat from the gas turbines. Supplemental gas firing of the MSF distillers is also provided. This supplemental firing allows up to 100% of water production capacity to be achieved while operating at power production levels as low as 30%.

The Taweelah A-2 Operating Company Limited (TA2OC), a wholly owned subsidiary of CMS Generation, provides on-going management, operations and maintenance of the A-2 facility under terms of a 20-year agreement. Scheduled major maintenance of the generating equipment, inclusive of labor and parts, has been contracted to Siemens.

Certain facilities shared with the adjacent Taweelah A-1 and Taweelah B plants are operated and maintained by the Shared Facilities Company, owned 17% by ECPC, 66% by Taweelah B and 17% by Taweelah A-1. Taweelah B is the “operating shareholder” of the Shared Facilities Company.
